1. Introduction
Welcome to ReachDial's Voice over Internet Protocol (VoIP) services. These Terms and Conditions ("Terms") govern your use of ReachDial's telecommunications services.
By activating, using, or paying for ReachDial services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, do not use our services.
2. Service Description
ReachDial provides hosted VoIP telecommunications services, including but not limited to voice calling, messaging, conferencing, and related features ("Services"). Services are provided over the internet and require a broadband internet connection.
3. Service Requirements
3.1 Internet Dependency
Our Services require a reliable high-speed internet connection. Service quality depends on your internet service provider and network conditions beyond ReachDial's control.
3.2 Power Dependency
Services require electrical power to operate. During power outages, Services may be unavailable unless you have backup power systems.
3.3 Service Levels
While we strive to provide reliable service, we do not guarantee 100% uptime or availability. Planned maintenance may temporarily interrupt Services.
4. Emergency Services (911)
4.1 Important 911 Limitations
IMPORTANT: ReachDial's 911 emergency service has limitations that differ from traditional telephone services. You acknowledge and understand:
- 911 calls may not function during power or internet outages
- 911 service requires accurate location information on file
- 911 calls may not work if you move your equipment to a different location
- Backup communication methods should be maintained for emergencies
4.2 Location Information
You must provide and maintain accurate physical location information for all lines. You must immediately update location information when equipment is moved.
4.3 No Liability for 911
To the fullest extent permitted by law, ReachDial disclaims all liability for any claims, damages, or losses related to emergency services availability or functionality.
5. Acceptable Use
5.1 Prohibited Uses
You may not use our Services for:
- Illegal activities or communications
- Harassment, threats, or abusive communications
- Spam, robocalls, or unsolicited commercial communications
- Activities that interfere with network operations
- Resale of services without written authorization
5.2 Network Management
We may implement reasonable network management practices to maintain service quality, including traffic shaping or blocking of harmful traffic.
6. Billing and Payment
6.1 Charges
You agree to pay all charges for Services as set forth in your service agreement, including monthly recurring charges, usage charges, taxes, and fees.
6.2 Payment Terms
Charges are due in advance and payable according to the billing cycle specified in your service agreement. Late payments may result in service suspension.
6.3 Taxes and Fees
You are responsible for all applicable taxes, surcharges, and regulatory fees associated with your Services.
6.4 Disputed Charges
Billing disputes must be reported within 60 days of the billing date. Undisputed portions of bills remain due.
7. Term and Termination
7.1 Service Term
Service terms are specified in your service agreement. Services may automatically renew unless cancelled according to the termination provisions.
7.2 Termination Rights
We may terminate or suspend Services immediately for:
- Non-payment of charges
- Violation of these Terms
- Fraudulent or illegal use
- Violation of Acceptable Use Policy
7.3 Effect of Termination
Upon termination, all unpaid charges become immediately due. You must return any ReachDial equipment within 30 days.
8. Equipment
8.1 Customer Equipment
You are responsible for obtaining and maintaining compatible equipment and internet service. We may provide equipment specifications but do not guarantee compatibility.
8.2 ReachDial Equipment
Any equipment provided by ReachDial remains our property and must be returned upon service termination in good condition, normal wear excepted.
9. Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, incorporated herein by reference.
10. Intellectual Property
10.1 ReachDial Rights
All intellectual property rights in our Services, software, and systems remain the exclusive property of ReachDial and our licensors.
10.2 License Grant
We grant you a limited, non-exclusive license to use our Services in accordance with these Terms. This license terminates upon service termination.
11. Disclaimers
11.1 Service Disclaimer
SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Performance
We do not guarantee that Services will meet your specific requirements or be available without interruption.
12. Acceptable Use Policy
You agree to comply with the ReachDial Acceptable Use Policy Version 2.0, effective January 6, 2026 ("AUP"), which is incorporated into this Agreement by this reference. The AUP contains important restrictions and prohibitions on how you may use the Service. Violation of the AUP may result in immediate suspension or termination of Service.
13. Indemnification
You agree to indemnify and hold harmless ReachDial from any claims, damages, or expenses arising from your use of Services, violation of these Terms, or infringement of third-party rights.
You are responsible for: (a) maintaining the confidentiality and security of your account credentials; (b) implementing reasonable security measures to protect your equipment and network; (c) promptly reporting any suspected unauthorized access or security breaches to ReachDial; (d) cooperating with ReachDial in investigating and responding to security incidents.
14. Force Majeure
ReachDial shall not be liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, government actions, labor disputes, or internet infrastructure failures.
15. Modifications
We may modify these Terms at any time by posting updated Terms on our website. Continued use of Services constitutes acceptance of modified Terms. Material changes will be communicated via email or account notice.
16. Assignment
You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms without restriction.
17. Governing Law
This Agreement and the relationship between you and ReachDial shall be governed by the laws of Pennsylvania without regard to its conflict of law provisions. Any claim brought pursuant to this Agreement shall be brought in a court of competent jurisdiction within the State of Pennsylvania and venue for any such claim shall be proper in the appropriate state or federal court located in Montgomery County, Pennsylvania.
You agree that disputes must be brought individually and not as part of any class or representative action.
18. Arbitration
Except as provided below, any dispute arising from or relating to these Terms or Services shall be resolved through binding arbitration rather than in court. Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. All claims for Arbitration shall be submitted to and heard by the office of AAA located in Montgomery County, Pennsylvania.
You may opt out of this arbitration agreement by sending written notice to ReachDial within 30 days of service activation.
19. Data Privacy and Security
ReachDial collects and processes customer information including account details, call data records (CDRs), usage information, and communications content as necessary to provide the Service. This information is used for billing, service provisioning, network operations, fraud prevention, and compliance with legal obligations.
Customers have the right to: (a) request access to their personal information; (b) request correction of inaccurate data; (c) request deletion of personal information, subject to our legal retention obligations; and (d) opt-out of marketing communications. 20. General Provisions
These Terms, together with your service agreement and Privacy Policy, constitute the entire agreement between you and ReachDial regarding Services. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.
